1. Introduction and Acceptance

These Terms of Service (“Terms”) govern your access to and use of the AI-powered front desk platform and related services (“Services”) provided by Aiging US LLC (“Company,” “we,” “us,” or “our”). By subscribing to, accessing, or using our Services, you (“Subscriber,” “you,” or “your”) agree to be bound by these Terms.

If you are entering into these Terms on behalf of a medical practice, healthcare organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of Services

Aiging US provides a white-label Medical AI Front Desk platform designed for medical practices. Our Services include:

  • AI-powered voice and text automation for inbound calls, SMS, and chat
  • Automated appointment scheduling and management
  • Patient intake form processing
  • No-show recovery and follow-up automation
  • Review request and reputation management workflows
  • CRM and patient communication tools

The specific features available to you depend on your subscription plan.

3. Subscription Plans and Fees

3.1 Subscription Tiers

We offer multiple subscription tiers with varying features, user limits, and capabilities. Current plans and pricing are available on our website. All plans include access to our AI Employee suite for voice and text automation.

3.2 Billing and Payment

  • Subscriptions are billed monthly or annually in advance, depending on the plan selected.
  • Annual subscriptions receive a discount equivalent to two months free.
  • Payment is due upon subscription activation and on each renewal date thereafter.
  • We accept major credit cards and process payments through secure third-party payment processors.

3.3 Usage-Based Fees

Certain Services incur usage-based fees in addition to your subscription, including but not limited to: voice minutes, SMS messages, email sends, and AI processing. Usage fees are billed monthly in arrears and charged to your payment method on file. Current usage rates are available in your account dashboard.

3.4 Price Changes

We reserve the right to modify pricing with 30 days’ notice. Price changes will take effect at your next renewal period. Annual subscribers are protected from mid-term price increases.

4. Account Registration and Security

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must notify us immediately of any unauthorized access or security breach.
  • You are responsible for all activities that occur under your account.
  • We reserve the right to suspend accounts with suspected unauthorized access.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in compliance with all applicable laws and regulations. You shall not:

  • Use the Services for any purpose other than legitimate healthcare practice operations
  • Send unsolicited messages (spam) or violate anti-spam laws (TCPA, CAN-SPAM)
  • Transmit malicious code, viruses, or harmful content
  • Attempt to gain unauthorized access to our systems or other users’ accounts
  • Interfere with or disrupt the integrity or performance of the Services
  • Resell, sublicense, or redistribute the Services without written authorization
  • Use the Services in violation of HIPAA or other healthcare privacy regulations

6. HIPAA Compliance and Business Associate Agreement

If you are a Covered Entity or Business Associate under HIPAA and will use the Services to create, receive, maintain, or transmit Protected Health Information (PHI), you must execute a Business Associate Agreement (BAA) with us prior to using the Services for such purposes.

Our Business Associate Agreement is available for review and execution. HIPAA compliance features are included in all subscription plans.

7. Data Ownership and Intellectual Property

7.1 Your Data

You retain all ownership rights to the data you submit to the Services (“Your Data”), including patient information, practice data, and communications. We claim no ownership over Your Data.

7.2 License to Use Your Data

You grant us a limited, non-exclusive license to use, process, and store Your Data solely for the purpose of providing the Services to you. This license terminates upon termination of your subscription.

7.3 Our Intellectual Property

The Services, including all software, algorithms, AI models, user interfaces, designs, trademarks, and documentation, are owned by Aiging US LLC or our licensors and are protected by intellectual property laws. You receive no ownership rights to our intellectual property.

7.4 Feedback

If you provide suggestions, feedback, or ideas about the Services, you grant us the right to use such feedback without restriction or compensation.

8. AI Disclosure

Our Services use artificial intelligence to automate patient communications. You acknowledge and agree that:

  • AI systems will interact with your patients on your behalf
  • You are responsible for configuring AI responses appropriately for your practice
  • AI should support but not replace clinical judgment
  • You must review and comply with our AI Disclosure Notice

9. Service Availability and Support

9.1 Uptime

We strive to maintain high availability of the Services but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance when possible.

9.2 Support

Support is available via email and phone during business hours. Response times vary by subscription tier. Emergency support for service outages is available to all subscribers.

10. Cancellation and Termination

10.1 Cancellation by You

  • Monthly subscriptions: You may cancel at any time. Cancellation takes effect at the end of your current billing period.
  • Annual subscriptions: You may cancel at any time. No refunds are provided for unused portions of annual subscriptions unless required by law.

10.2 Termination by Us

We may suspend or terminate your access to the Services immediately if you breach these Terms, fail to pay fees when due, or engage in conduct that harms other users or our reputation. We will provide notice when feasible.

10.3 Effect of Termination

Upon termination, your access to the Services will cease. You may request export of Your Data within 30 days of termination. After 30 days, we may delete Your Data in accordance with our data retention policies, subject to legal requirements.

11. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. WE ARE NOT RESPONSIBLE FOR THE ACCURACY OF AI-GENERATED CONTENT OR COMMUNICATIONS.

Our Services are administrative tools and do not constitute medical advice. You remain solely responsible for all clinical decisions and patient care.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIGING US LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICES.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Aiging US LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from:

  • Your use of the Services
  • Your breach of these Terms
  • Your violation of any law or third-party rights
  • Your Data or content you submit through the Services
  • Any claims by your patients related to AI-assisted communications

14. Dispute Resolution

14.1 Informal Resolution

Before initiating formal proceedings, you agree to contact us at connect@aigingus.com to attempt informal resolution. We will work in good faith to resolve disputes within 30 days.

14.2 Arbitration

If informal resolution fails, any dispute arising from these Terms shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. Arbitration shall take place in San Diego, California, and judgment on the arbitration award may be entered in any court of competent jurisdiction.

14.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive the right to participate in class actions, class arbitrations, or representative actions.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action not subject to arbitration shall be brought exclusively in the state or federal courts located in San Diego County, California.

16. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or through the Services at least 30 days before taking effect. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

17. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, BAA (if applicable), and any order forms, constitute the entire agreement between you and Aiging US LLC.
  • Severability: If any provision is found unenforceable, the remaining provisions shall remain in effect.
  • Waiver: Our failure to enforce any right shall not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
  • Force Majeure: We are not liable for delays or failures due to circumstances beyond our reasonable control.
